Acceptance of Terms
of Use
Please review the following terms and conditions carefully. This agreement
is a legally binding contract between You and StartUpPC.com regarding the
services provided by StartUpPC.com. By using our Services, You agree to the
terms and conditions as outlined in this notice. StartUpPC reserves the
right to change these terms and conditions from time to time at its sole
discretion, without prior notice, by posting such revised terms and
conditions on the Site.
Changes to the Services
We reserve the right to modify, suspend or discontinue all or any portion
of the Services we offer at any time, with or without notice. Unless stated
otherwise, any new features to the Services shall be subject to these Terms
of Use.
Services Overview
StartUpPC services, which provides technical support for selected desktop
computer systems, laptops, Pocket PCs, PDAs, monitors, printers, scanners,
peripheral devices and software applications for a fee (the “Services”),
are one-time charges and we are not responsible for problems that occur
following Your satisfaction proceded by our departure. Your purchase and
use of the Services shall be governed exclusively by these Terms of Use,
including, but not limited to, the following:

Cancelling and
Rescheduling Appointments
1. Cancellations may be done up to 24 hours prior to your appointment. If
there are 24 hours or less until your appointment, it may not be
cancelled.
2. Rescheduling may be done up to 3 hours prior to your appointment. Past
that time, a $10 fee will be added to the final servicing price.

Payment and Work
Orders
Hourly billing begins once we arrive at the address provided (and
confirmed) on the ordering form and ends when the necessary services are
complete. Payment must be recieved prior to our departure as well as in
cash/check form. Only services detailed on the work order will be
provided during the time spent on location. We will stay as long as
needed to resolve your issue. However, further services needed that are
not on the Work Order, will have to be at a later date and needs to be
re-ordered through our website.

Out of Scope
StartUpPC technicians may determine that the issue is out of our Scope of
Support. StartUpPC will use commercially reasonable efforts to refer the
customer to an appropriate alternative resource. However, StartUpPC will
not transfer the customer directly to an alternate resource. You
acknowledge that StartUpPC may not be able to solve your particular
problem. If this issue occurs, we will fully explain what is necessary to
solve the issue. Example: If
StartUpPC is called to fix a computer that is not turned on, and we find
out it is due to a broken component that needs replacing, we are not able
to fix that. However, we will call up the manufacturer of the product to
assist in recieving the replacement part. Out of Scope
situations do not mean payment is not necessary, the customer will still
be obligated to pay the appropriate amount.

Guaranteed knowledge for the above Operating Systems, Hardware, and
Software is always provided. You agree that Operating Systems,
Hardware, and Software outside the above scope we can still help with;
however, we have the right to not be able to fully assist with such
applications and can not be penalized for such lack of knowledge.

Limitations and Exclusions for Network Support:
Support is limited to the components listed. The following are excluded
from support: Macintosh Operating Systems; enterprise server and
firewall solutions; CISCO and Redback routers; non functional systems
due to hardware defects; systems not meeting the following minimum
requirements: Windows 95 or later, Pentium 90mhz (133 recommended) 32
MB RAM (128 recommended) plug-and-play compliant BIOS and Motherboard,
PCI slot (Bus Mastering preferred), PCMCIA or Card Bus (notebooks);
computers that are more than 100 meters from the internet connection;
support requiring ISP intervention; multi-homed configuration
(configured to exist on two different networks); networks that are
configured with in-house phone lines; wireless connectivity is limited
to manufacturer specifications; wired or wireless networks
troubleshooting involving structural, electronic or other types of
interference. Printing through a router or print server is not
supported. Non-Networking software applications are not supported.

In addition to the limits and
exclusions noted above the following limits and exclusions also apply.
|

|
|
General
Limitations and Exclusions: Hardware support is limited to trouble
shooting and diagnosing problems. Physical replacement of components is
not provided unless an Upgrade/Replacement is on the Work Order. Software
application support is limited to the current release and two previous
releases. The following are excluded from support: operating systems
prior to Windows 95 / Mac OS 9.x; lost/damaged CD key numbers; actions
that are a risk or violation of copyright laws; pre-release or beta
versions of software; shareware or free software; support requiring ISP
intervention; Additional exclusions may be applicable as determined by
StartUpPC from time to time.

Limitation of Liability
STARTUPPC, ITS DIRECTORS AND EMPLOYEES SHALL NOT BE LIABLE FOR ANY DIRECT,
INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES
(INCLUDING DAMAGES FOR LOSS OF BUSINESS, LOSS OF PROFITS, LITIGATION OR THE
LIKE) ARISING OUT OF (A) THE USE OF OUR SERVICES, (B) THE CONTENT ON OUR
SITE, (C) WEB SITES LINKED TO THIS SITE AND THE CONTENT, GOODS AND/OR
SERVICES PROVIDED THEREIN (D) ANY DECISION MADE OR ACTION TAKEN BY YOU IN
RELIANCE UPON THE INFORMATION WITHIN OR CONTENT OF, THE SITE OR OTHERWISE
PROVIDED IN CONNECTION WITH THE SERVICES, AND/OR (E) THE INABILITY TO USE
THE SERVICES, INCLUDING BUT NOT LIMITED TO THE SITE AND CONTENT CONTAINED
THEREIN (INCLUDING, BUT NOT NECESSARILY LIMITED TO, LOSS OF PROFITS,
GOODWILL OR SAVINGS, DOWNTIME, DAMAGE TO OR REPLACEMENT OF PROGRAMS AND
DATA), WHETHER BASED IN CONTRACT OR TORT (INCLUDING NEGLIGENCE) AND PRODUCT
LIABILITY (F) ANY MATERIAL ON YOUR COMPUTER PRIOR TO OUR ARRIVAL
Your Conduct
You agree not to: (a) upload, transmit, post, email or otherwise make
available to StartUpPC or the Site, any content or other material in any
format that: (x) is false, inaccurate, unlawful, harmful, threatening,
abusive, harassing, tortious, defamatory, vulgar, obscene, invasive of
another’s privacy, libelous and/or otherwise objectionable; (y) infringes
any third party’s intellectual property; or (z) contains viruses, worms,
Trojan horses, corrupted files, or any other similar software or programs
designed to interrupt, destroy or limit the functionality of any computer software
or hardware or telecommunications equipment; (b) alter, remove, or falsify
any attributions or other proprietary designations of origin or source of
any other content appearing on the Site, contained in a file that is
uploaded to the Site or the materials; (c) impersonate any person or
entity, including, but not limited to, an StartUpPC official or falsely
state or otherwise misrepresent Your affiliation with a person or entity;
or (d) attempt, through any means, to gain unauthorized access to the Services.
The use of any device, software or routine that interferes or attempts to
interfere with the proper working of Services, including the Site is
expressly prohibited.
Indemnification
You agree to indemnify, hold harmless and release StartUpPC, its directors,
officers, and employees, from and against any and all claims, damages,
costs and expenses, including reasonable attorney’s fees, arising from or
related to Your use of Your computer and/or Our Services, Site and/or any
content contained therein.
Miscellaneous
YOU
ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF USE AND UNDERSTAND PRIOR TO
OUR ARRIVAL AND STARTUPPC WILL NOT BE PENALIZED FOR THE FAILURE TO READ AND
UNDERSTAND THE PROVIDED TERMS. YOU FURTHER AGREE THAT IT IS THE COMPLETE
AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN YOU AND STARTUPPC WHICH
SUPERSEDES ANY PROPOSED OR PRIOR AGREEMENT, ORAL OR WRITTEN, ELECTRONIC OR
OTHERWISE, AND ANY OTHER COMMUNICATIONS BETWEEN YOU AND StartUpPC RELATING
TO YOUR USE OF THE SITE AND SERVICES, AS APPLICABLE.
Failure to Abide by these Terms
StartUpPC may in its sole discretion decide to leave the location of the
job if the customer fails to understand or abide to the provided terms.
